본 연구는 해양플랜트의 전 생애주기에 걸쳐 기술적, 상업적, 법률적 운영관리를 포괄하는 해양플랜트 운영관리계약(Operation & Maintenance Agreement)의 법적 성격과 주요 쟁점을 검토한다. 해양플랜트 운영관리업은 일정 기간 동안 인력, 기자재, 선용품, 기술서비스, 지원선박 용선 등 종합적인 관리를 위탁받아 수행하고 그에 대한 대가로 일정한 보수를 지급받는 업으로, 한국법상으로는 해운법상 선박관리업의 범주에 해당하고, 운영관리계약은 크게는 민법상 위임계약으로 해석할 수 있다. 본 연구는 운영관리계약과 선박관리계약 간의 유사성과 차이를 분석하고, 운영관리계약에 포함되는 주요 조건의 법적 의미를 논한다. 해양플랜트 운영관리업은 지속 가능한 부가가치를 창출할 잠재력을 지니고 있음에도 불구하고 국내에서는 아직 활성화되지 못한 산업인바, 본 연구를 통하여 국내 운영관리업의 경쟁력이 강화될 수 있기를 소망한다.
Abstract
This study examines the legal nature and key issues of offshore plant operation and maintenance agreements (O&M agreements), which encompass technical, commercial, and legal management throughout the lifecycle of offshore plants. The offshore plant operation and maintenance industry involves comprehensive management of personnel, equipment, supplies, technical services, and support vessels over a specified period in exchange for agreed remuneration. Under Korean law, this industry falls within the scope of ship management under the Shipping Act, and O&M agreements are generally interpreted as contract of mandate or delegation agreements under the Civil Act. This study analyzes the similarities and differences between O&M agreements and ship management contracts and explores the legal implications of key contractual terms. Despite its potential to create sustainable value, the offshore plant operation and maintenance industry remains underdeveloped in South Korea. Through this research, it is hoped that the competitiveness of the domestic O&M industry will be strengthened.
