지난 20년 동안, 우리는 전 세계의 많은 선진국들과 개발도상국들이 전력사업의 민영화를 통해 개혁을 도모하고 민자발전 프로젝트(IPP)를 활발히 도입하여 급속하게 발전해 온 것을 보았다. 이러한 움직임 속에서 국내 기업들은 해외 민자발전 프로젝트에 참여함으로써 전력분야 개혁의 움직임을 가속화하는 원동력이 되고 민자발전 프로젝트 분야에서 핵심적인 역할을 하게 되었다. 이렇듯 기업들이 발전 프로젝트 참여에 대한 상당한 관심을 보이고 있지만 실제로 민자발전 프로젝트 시장에 참여하고 있는 국내 기업들에게 운영관리계약에 대한 적절한 실무적인 지침서가 될 수 있는 국내 및 해외 자료는 한정적이다. 이러한 이유로 본고는 민자발전 프로젝트 분야에서 활동하고 있는 법조계 실무자들과 그 외 다른 전문가들을 위해 해외 민자발전 프로젝트 운영관리계약과 관련된 주요 이슈들에 대해 설명하고 전반적인 이해를 돕고자 한다. 더 나아가 본고는 해외 민자발전 프로젝트에서 흔히 이용되는 영미법이 준거법인 운영관리계약의 다양한 주요 구조와 이에 따르는 여러 가지 장·단점을 살펴본 후, 운영관리계약의 세부 내용을 검토하고 협상하는 과정 중에 흔히 쟁점이 되는 계약조항과 발전소를 운영하는 중에 발생하는 운영관리계약상 분쟁 그리고 이러한 쟁점들을 해결하기 위하여 고려해야 할 전반적인 사항들을 살펴보았다. 본고는 발전 프로젝트의 장기적인 성공을 위해서 해당 발전 프로젝트 분야에서 경험이 많고 전문적인 지식을 보유한 운영자를 선정하는 것이 얼마나 중요한가에 대해서 강조하고 있다. 또한 발생 가능한 운영위험 요소들을 고려하고 운영위험을 경감하기 위해 적절하게 위험을 배분할 수 있는 방법들을 제시하였다. 본고에서 다루어진 내용은 실무에서 일어나는 다양한 이슈들 중에 극히 일부분에 불과하지만, 우리나라 발전 및 건설 산업의 해외진출과 더불어 심화된 형태로 연구와 개선이 이루어질 것이라고 본다.
Abstract
For the past two decades, we have seen the rapid progress of the movement to reform and to privatize the electrical power sector in both developed and developing countries. The independent power projects (“IPP”) have been one of the forces driving the movement with Korean companies becoming major players in the IPP market. While there has been considerable interest in the IPPs, we find only limited resources that are providing guidance to the Korean companies that are participating in the IPP market. The purpose of this paper is to provide legal practitioners and other professionals in the IPP sector with an overview of key issues arising out of or in connection with Operation & Maintenance (“O&M”) agreements. This paper examines various legal structures for O&M agreements and the roles of the project company and the operator or O&M contractor. The author emphasizes how critical it is to find and select an experienced and qualified operator to achieve the long-term sustainable success of the IPPs. This paper also explores potential operational risks to consider and suggests various ways to properly allocate the risks while drafting and negotiating an O&M agreement. In addition the author presents key issues and important factors to take into account to overcome the operational risks that may be encountered during the commissioning and operational period of the IPPs. In conclusion, this paper hopes to contribute to a more complete understanding of IPPs’ risks and suggests new lines of study that may provide a deeper insight for the success of IPPs.
