해양플랜트공사계약과 관련된 법적 쟁점사항에 대한 연구

초록

해양플랜트공사가 원활하게 완성되어 발주자에게 인도될 수 있는 가장 효율적인 계약방식은 EPC방식의 해양플랜트공사계약이다. 이러한 계약을 통해서 조선소는 발주자와 합의된 금전적인 대가를 받는 조건으로 프로젝트를 완성하여 발주자에게 소유권 및 관련 채권의 일체를 양도하게 된다. 최근 해양플랜트공사계약과 관련한 법적 분쟁의 대부분은 해양플랜트공사에 기인한 위험의 정도를 일방의 당사자에게 전가함에 따라 발생하고 있다. 높은 자본력, 풍부한 경험, 우수한 기술력을 갖춘 국제석유회사, 국영석유회사들은 상대적으로 열위에 있는 조선소에게 불평등한 계약을 체결하도록 강요함에 따라 계약의 완성에 대한 기대치와 관련된 문제, 즉 인도지연으로 인하여 다양한 법적 분쟁이 확대되고 있다. 따라서 이 논문은 해양플랜트공사계약과 관련된 법적 쟁점사항 및 문제점을 검토하고, 이에 대한 대응방안을 제시하였다. 향후 산학이 중심이 되어 해양플랜트공사계약방식의 다변화, 독소조항에 대한 법적인 대응방안 마련, 국문해양플랜트공사계약서를 제정하는데 협력하기를 기대한다.

Abstract

An EPC contract is the most effective contract to complete Offshore Plant construction. Throughout this contract, shipyard has to delivery all of the offshore plant’s ownership and bond to owner as condition to receive consideration as agreed. Recently legal disputes for offshore plant contract have been occurred to shift their own risk to one party owing to complete offshore plant construction. International Oil Company and National Oil Company that have a high capital strength with a lot of experience and advanced technology are putting unreasonable pressure to make an unfair contract for shipyard with comparatively disadvantage status. Legal issues including delays for delivery and extention of time for construction are Therefore this study considered legal disputes regarding with offshore plant construction contract and suggested the countermeasures to solve the problem. It is hoped that this study would contribute to cooperate to establish diversification of contracts, a legal countermeasures for toxins provisions, Korean offshore plant construction contract based on the university-shipyard linkage is the central.
