Abstract

In Korea, a large business group known as chaebol plays a huge role in the economy. Business groups in Korea show some common characteristics: controlling families own only a small portion of total equity, leading groups are relatively large in scale compared with other countries, and controlling families are involved in the management usually. Developing countries or some developed countries show some of these characteristics but not all, such as Korea. If Korean firms were to change to dispersed ownership structure such as in the US or Britain, that change won’t happen spontaneously. Instead, firms will first change to European internal control system or the Japanese Keiretsu system and then to US or Britain style firms. But not unless triggered by external factors, change in the corporate group structure does not seem be easy despite the social costs because a powerful opposition force to the chaebol-oriented economy is not clearly formed. An environment for various types of business is needed for a change to reduce socioeconomic costs of business groups. In addition, competition in labor market, capital market and product market should be encouraged to reduce advantages of business group management. It is necessary to limit control enhancement mechanism of business group and to induce controlling families to exit for the change of corporate structure and strengthening management responsibility in Korea.
