Abstract

Decentralized Autonomous Organizations or DAOs recently attract expectations from both academia and business community as substitutes for traditional business organizations including stock corporations or partnerships. In Korea, DAOs got spotlights from public media when a domestic DAO and a foreign DAO competed in an auction for well-known national treasury in early 2022. This paper is to explore legal issues on this brand-new device for business organization by way of comparing with other organizational forms and of applying traditional firm theory like agency problems to it. Detailed regulations or codifications over DAOs might contradict the very nature of DAOs – DAOs are supposed to operate in ʻautonomousʼ and ʻdecentralizedʼ way. However, this paper found that at least some legislative interventions are inevitable as follows. First, limited liability privilege should be allowed to the members of DAOs. Without limited liability, a DAO cannot make a decent vehicle for operating commercial activities. Some states in the US like Vermont, Wyoming and Tennessee recently adopted new legislations which stipulate asset partitioning and personhood of a DAO. The Korean government should clearly define the legal status of DAOs as business organizations. Second, while strange to prototype DAOs, new legislation should give members of DAOs the discretion to adopt a separate management organ at DAOs. Prototype DAOs presume democratic decision-making by all members via blockchains. However, depending on the type of business operated by a DAO, a centralized management might have merits over pure democratic operation. We may call it a hybrid DAO. Demands from other organizational forms to incorporate or combine DAOsʼ features should be covered. Third, DAOsʼ decision-making process deserves thorough analysis. Collective decision making is a cornerstone of DAOs. The rational apathy as shown in shareholder meetings may reemerge in DAOs, though. Various devices including futarchy voting, liquid democracy and quandratic voting have been suggested. New legislation may stipulate a default rule for providing and calculating voting rights of members. Lastly, the liability issue of failed DAOs should be cautiously dealt by. Imposing liability upon developers and other peers may curb innovations and development in DAOs, which might result long-term social losses. Instead of introducing new rules for stricter liability, the government may resort to traditional tort liability jurisprudence and try to locate blind spots in term of protecting innocent third parties.
