전 세계적으로 보면, 미국의 일부 주에서는 이미 DAO를 조직 관리의 한 형태로 인정하는 법제화가 진행되고 있다. 미국의 와이오밍주에서 블록체인기술을 응용한 DAO를 유한책임회사(LLC)로서 등기할 수 있는 DAO법이 2021년에 승인되어 DAO에 대한 규제대응을 하고 있다. 이러한 DAO법에서는 스마트 컨트랙트의 식별자 및 운영에 있어 알고리즘 및 참여자의 역할을 기재하는 등 블록체인을 기반으로 하는 조직 운영을 전제로 한 조직 설계가 이루어지고 있다. 일본에서는 2024년 1월 26일, 자유민주당 디지털사회추진본부 web3 프로젝트팀은 'DAO 룰 메이킹에 관한 제언을 작성하였으며, 이러한 DAO 제언을 반영한 내각부령 개정이 공포·시행되었다. 우리나라에서도 DAO에 법인격을 부여는 다양한 유용성이 있으므로 법인화를 인정하는 제도마련을 검토할 필요가 있다. 미국의 LLC형태의 DAO에 관한 특별법을 제정하거나 상법과 자본시장법의 관련 규율을 일부 변경 적용해나가는 방안도 검토될 수 있을 것으로 생각된다. DAO로서 법적인 조직체를 인정하고 그 조건에 맞는 DAO로서 법적취급을 명확히 함으로써 법적안정성을 갖도록 하는 것이 바람직하다. 앞으로 우리나라에서 DAO에 관한 법정비가 진행되기 위해서 법적 제반 문제 등 신중하게 검토해나갈 필요가 있다고 생각된다.
Abstract
On a global scale, some states in the United States have already enacted legislation that recognizes DAOs as a form of organizational governance. In the US state of Wyoming, the DAO Act was approved in 2021, which allows DAOs using blockchain technology to register as limited liability companies (LLCs), providing a regulatory response to DAOs and allowing them to enjoy the benefits of limited liability by enabling them to be legally based contracts. The DAO Law defines the requirements for establishing a DAO, the registration procedures, the rights and obligations of members, and the grounds for dissolution, and in addition to the features of a general LLC, the articles of incorporation specify the identifiers of smart contracts directly used for the management, facilitation, and operation of the DAO, as well as the roles of algorithms and participants in the operation. In Japan, the "Priority Plan for the Realization of a Digital Society" approved by the Cabinet on June 7, 2022, mentions the clarification of the legal status of DAOs as one of the environmental measures to promote Web3.0, and the legal framework for "Distributed Autonomous Organizations (DAOs)" will be revised in line with the development of the distributed Internet, or Web3. On January 26, 2024, the Web3 project team of the Digital Society Promotion Headquarters of the Liberal Democratic Party submitted a proposal on "DAO regulation," and the revision of the Cabinet Decree reflecting the DAO proposal was promulgated and implemented. In Korea, granting legal personality to DAOs not only makes it easier for counterparties to do business with them, but also makes it easier to distinguish between the business assets of DAOs and the personal assets of their members, and the issue of granting legal personality to DAOs themselves can be viewed positively as long as certain disclosure methods are in place, such as the Wyoming state law in the United States, which recognizes the status of an LLC and grants it separate legal personality. Giving DAOs the status of a legal entity is useful for various purposes, so it is necessary to consider establishing a system that recognizes corporatization. In order to proceed with the legalization of DAOs in Korea, it is necessary to carefully review all legal issues.
