공정하고 건전한 반려동물 거래 질서 확립을 위한 반려동물 매매 표준계약서의 핵심은 다음과 같다. 첫째, 반려동물의 범위에 관한 조항이다. 개와 고양이만 명시하되 반려 목적으로 기르는 동물이라고 함으로써 개별적으로 반려동물 매매 표준계약서상의 반려동물인지에 관하여 판단하는 것이 타당하다. 둘째, 매도인의 정보제공의무에 관한 조항이다. 매도인이 매수인에게 제공하여야 하는 주요 정보로는 예방접종기록, 반려동물 생산자에 관한 사항, 2개월령 이상 반려견의 등록신청에 관한 사항이 있다. 예방접종기록과 관련하여 표준계약서에 반려동물의 연령에 따른 필수 백신 목록을 작성할 필요가 있다. 매도인은 매수인에게 반려동물의 특징, 습성, 사육 방법, 2개월령 이상의 반려견 등록에 관한 제반 사항을 설명하여야 한다는 내용의 조항도 포함하는 것이 바람직하다. 셋째, 매도인의 하자담보책임에 관한 조항이다. 매수인이 반려동물을 인도받은 후 15일 이내에 반려동물이 폐사하거나 선천성·유전성 이외의 질병이 발생한 때와 매도인이 매수인에게 매매계약 성립 시까지 반려동물의 선천성·유전성 질병에 대해 고지하지 않은 경우에 반려동물의 하자가 추정된다고 보는 것이 타당하다. 또한 민법 제580조에 따라 해제와 손해배상청구를 규정하고, 하자보수청구권도 인정하는 것이 바람직하다. 민법 제582조에 따라 6개월의 제척기간을 명시할 필요도 있다. 넷째, 채무불이행에 따른 손해배상청구에 관한 조항이다. 민법 제390조에 근거하여 계약 조항을 구성하는 것이 타당하다. 하자담보책임에 기한 손해배상청구권과 경합적으로 행사할 수 있다는 내용을 명시할 필요도 있다. 채무불이행에 따른 손해배상청구권의 소멸시효는 민법 제162조 제1항에 따라 10년으로 정하는 것이 바람직하다. 다섯째, 반려동물 매매계약의 해제와 그 효과, 해제와 손해배상청구 간의 관계에 관한 조항이다. 민법 제544조에 근거한 이행지체에 따른 해제와 민법 제546조에 근거한 이행불능에 따른 해제를 규정하는 것이 타당하다. 아울러 매도인의 계약서 미교부 시 매수인이 계약일로부터 7일 이내에 해제할 수 있다고 규정하는 것이 바람직하다. 한편 민법 제548조에 따라 해제의 효과인 원상회복의무를 규정할 필요가 있으며, 민법 제551조에 따라 해제와 관계없이 손해배상청구권을 행사할 수 있다는 점을 명시하는 것이 타당하다. 여섯째, 미성년자에게 반려동물 판매를 금지하는 조항, 매도인의 반려동물인도의무와 매수인의 대금지급의무의 동시이행에 관한 조항, 개인정보보호에 관한 조항, 계약의 해석과 적용법률에 관한 조항을 포함하는 것이 바람직하다.
Abstract
Adopting standard contractual clauses for pet sales can be a great way to ameliorate some of the problems related to pet sales. The main points of the standard contractual clauses are as follows: Firstly, it is required to include the scope of companion animals. It is desirable to specify dogs and cats. In addition, it is reasonable to judge individually whether an animal can be a 'companion animal' in the standard pet sales contract. Secondly, it is necessary to stipulate a duty to provide information. A seller shall deliver to the purchaser a written statement that includes breeder information, a record of inoculations, and the application for registration of any dog over the age of two months. It is appropriate to specify a list of core vaccinations taking into consideration the age of the companion animal in the contract. Thirdly, it is required to include a clause of the seller's liability for warranty against defect based on Article 580 of the Civil Act. The defect should be presumed if within 15 days after receipt of the animal by the purchaser, the animal has died of or suffers from disease except a congenital or hereditary one that existed in the animal on the date of the sale or if the seller does not notify the animal’s congenital or hereditary condition to the purchaser. Furthermore, it is desirable to create a clause stating that the buyer has a right to demand the removal of a defect. Fourthly, it is appropriate to specify the content of non-performance of obligations and compensation for damages on the basis of Article 390 of the Civil Act. It is required to make it clear that the seller's liability for warranty against defect is concurrent with the liability for non-performance of contractual obligation. Fifthly, there is a need for rescission clauses. In addition, within 7 days after the date of sale, the purchaser shall have a right to rescind the contract if the seller does not provide a written contract. Lastly, it is desirable to include clauses that clarify a duty to deliver an animal or pay the purchase price, a ban on pet sales to minors, personal information protection, and governing law.
