베트남 민간투자법제에 대한 고찰

초록

이 글에서는 베트남의 법제 중에서 민관협력(Public Private Partnership: PPP)을 통한 도로, 철도, 학교, 병원 등 사회기반시설(infrastructure)의 구축과 관련된 법제(민간투자법제)를 다루었다. 베트남 민간투자법제의 특징을 들면 다음과 같다. 첫째, 베트남의 민간투자법제가 지속적으로 정비되는 과정에서 우리나라 KDI, 수출입은행 등국제개발협력기구와의 긴밀한 협력이 있었다. 둘째, 베트남 정부는 민간투자법제를 정비해가는 과정에서 국제개발협력기구의 자문에만 의존하지않고 분쟁 시 베트남법을 준거법으로 하는 등 주체적인 관점에서 제도를 개선해나가고 있다. 셋째, 베트남 정부는 민간자본의 유치의 활성화, 특히 외국자본의 유치 활성화를 위해서 노력하면서도 민간투자사업(민자사업)의 공공성을 확보하기 위한 노력을 함께 기울여 왔다. 넷째, 베트남이 민간투자법령을 지속적으로 정비해왔음에도 불구하고 이 법령이 제대로 작동하기 위해서는 투자와 관련된 정부기관의 전문성을 확보하고, 입찰법, 외국인투자법, 공공투자법, 금융법 등 다양한 관련법제와의 체계적인 관계정립이 중요하다고 지적된다. 이러한 베트남의 민간투자법제는 북한의 사회기반시설의 구축과정에 다음과 같은 시사점을 제공해준다. 첫째, BOT방식으로 도로에 관한 민자사업을 실시하기 위해서는 도로통행료를 시민들이 납부할 수 있는 환경이 조성되어야 하는데 북한에서는 이를 단기간에 기대하기 힘들기 때문에 BTL(Build-Transfer-Operate)방식을 적극적으로 활용할 필요가 있다. 둘째, 베트남의 사례에서도 볼 수 있듯이 민자사업이 성공적으로 운영되기 위해서는 민간투자기본계획의 작성, 민자사업 전담조직의 설치 등이 북한에도 필요하다고 할 수 있다. 셋째, 베트남의 사례에서도 볼 수 있듯이 민자사업이 성공적으로 운영되기 위해서는 민자사업과 관련된 법률이 제정되는 것만으로는 충분치 않으며 외국인투자법 등과의 관계가 정립되는 것이 북한에도 필요하다고 할 수 있다. 넷째, 북한에 우리나라의 민간투자법령의 내용을 수출하는 데에 그치는 것이 아니라 우리나라민간투자법제의 운영과정에서 나타난 ‘최소운영수입보장제도’(MRG) 등의 시행착오를 객관적으로보여주는 것이 필요하다.

Abstract

This article deals with Vietnam’s Public-Private Partnerships (PPP) law for the construction of infrastructure such as roads, railways, schools, and hospitals. The characteristics of Vietnam’s PPP law are as follows. First, in the process of continuous refinement of Vietnam’s private PPP law, there has been close cooperation with international development cooperation organizations such as Korea Development Institute and Export-Import Bank of Korea. Second, the Vietnamese government has taken an independent perspective in improving the system by not solely relying on the advisory of international development cooperation organizations. This perspective can be found in utilizing Vietnamese law as the governing law in disputes. Third, the Vietnamese government has made efforts to attract private capital and enhance the public interest in PPP projects, particularly in attracting foreign investment. Fourth, despite continuous improvements in PPP law in Vietnam, it is emphasized to secure the expertise of government agencies related to investment and establish a systematic relationship with various relevant law such as bidding law, foreign investment law, public investment law, and financial law for the proper functioning of PPP law. Vietnam’s PPP law implementation case provides some implications for the construction of social infrastructure in North Korea. First, as there are limitations of implementing PPP projects concerning roads through the BOT (Build-Operate-Transfer) model in North Korea, BTL (Build-Transfer-Lease) model should be more actively implemented in North Korea. Second, as seen in Vietnam’s case, for the successful operation of PPP projects, it is necessary for North Korea to develop a basic plan for PPP projects and set up dedicated organizations for private projects. Third, like Vietnam, it is not sufficient for the success of PPP projects to solely enact PPP law. It is also crucial to establish relationship with law concerning public procurement and foreign investment. Fourth, it is necessary for North Korea to learn from South Korea’s trials and errors in the operation of its PPP law, such as the Minimum Revenue Guarantee (MRG) system.
