Abstract
ESG, which stands for a non-financial element of business entities, has become an irresistible trend for sustainable development and the sustainable coexistence of nature and human society. Among ‘E’, ‘S,’ and ‘G,’ especially ‘G’ is considered to be the fundamental axis or root of accomplishing ‘E’ and ‘S.’ However, there is a contradictory phenomenon where the mandatory takoever bid rule, which is supposed to improve corporate governance, adversely affects the enhancement of the ESG values of companies. In particular, shareholder engagement or shareholder activism conducted by institutional investors and minority shareholders could constitute a ‘concerted action’ triggering the obligation of making a takeover bid under the mandatory bid rule. A revision to the Capital Markets and Financial Investment Business Act, which introduces the reintroduction of the mandatory bid rule, is currently pending at the National Policy Committee of the 21st National Assembly of South Korea, and if the revision passes the Assembly plenary session, South Korea’s legal system would face that the two goals of improving the corporate governance structure and enhancing ESG values will collide over each other. That is to say, as a result of the revision that was proposed for the purpose of resolving the ‘Korea Discount’ led by the lack of a minority shareholder protection system during mergers and acquisitions disturbs shareholder engagement or shareholder activism, the revision may cause another unexpected risk of bringing ‘Korea ESG Discount.’ The contradiction that the mandatory bid rule hinders shareholders’ intervention in management is essentially a problem to be resolved through allowing exemption from the obligation of making a takeover bid and interpretation of ‘acting in concert.’ Nonetheless, I think the starting point for resolving this contradiction is to reexamine the way of approach to the control threshold, which is the basis for the application of the mandatory bid rule. This is because, first, it is hard to say that the ‘one-size-fits-all’ threshold is the best way of regulating all transactions of controlling shares for that reason control threshold varies from time, country, market, company, and issue. Therefore, second, the two goals, which are respectively to protect minority shareholders from being pressured to tender at a not reasonably low price in situations where controlling shares of a target company are being transferred and to promote concerted actions among shareholders in terms of shareholder engagement or shareholder activism without forcing freely from the mandatory bid rule, depends on how much effective and appropriate control threshold varying from time, countries, markets, companies, and issues is set to each corporation. Third, by establishing control thresholds suitable for each corporation, it is possible to prevent in advance the complicated problem of exempting shareholders’ cooperations for engagement in management under specific rules from the application of mandatory bid rule. Such a legal system has a significant meaning in that it also prevents the mandatory bid rule from becoming an obstacle when controlling shareholders who wish to enhance the ESG values cooperate with institutional investors to overcome opposition from other shareholders who do not want to sacrifice their short-term profits for the ESG values. Therefore, this article compares and analyzes the control thresholds of South Korea’s and foreign countries’ mandatory bid rules and also presents the grounds that the concepts of control under South Korea’s commercial laws are relative to draw the need to reconsider the way of approach to control threshold, which is an abstract concept, and a relative standard. Based on this discussion, the article suggests a specific plan to grant discretion to companies over setting their own control threshold. The aim of all these discussions is to create an environment suitable for Korean corporations to enhance ESG values.
