Abstract
This paper explores the legal challenges surrounding the spin-off of non-profit corporations in Korea, highlighting the institutional vacuum in current civil law and proposing legislative reforms. While the Civil Act and related statutes lack explicit provisions for non-profit corporate restructuring through division, practical demands for such restructuring—arising from organizational growth, diversification of missions, or risk management—have continued to increase. Through an in-depth analysis of landmark case studies, including the organizational restructuring of the Korean YWCA and the spin-offs of affiliated foundations, this study examines the motivations, procedures, and legal difficulties encountered in practice. The findings reveal that, in the absence of a legal framework, non-profits must resort to indirect methods such as the establishment of new corporations and asset transfers, leading to increased administrative burdens, regulatory uncertainties, and stakeholder risks. The study further assesses the 2009 draft amendment to the Civil Act, which proposed provisions for non-profit mergers and divisions, and offers concrete recommendations to enhance legal clarity and organizational flexibility. The paper argues that enabling corporate division through statutory reform is essential for safeguarding stakeholder interests and supporting the dynamic evolution of the non-profit sector in response to changing societal needs.
