‘국제상사계약에 관한 일반원칙’(PICC)은 국제상거래를 보편타당하게 규 율할 수 있는 국제적 통일법규범이라는 지위를 통해 그 유용성을 표창하 고 있다. 이는 국제상사계약에 있어 실제적ㆍ현실적으로 법원으로서의 설 득력을 담보한 이른바 일반원칙(general principles)을 명문으로 기술하고 있다는 점과 이로써 국제상사계약에 임한 계약당사자에게 이를 계약 내용 에 편입할 수 있도록 구성하고 있다는 점이 근본으로 작용하고 있음에 기 인한다. 또한 PICC는 법기능적 차원에서 사실상의 법원(legal source)으로 기능할 수 있도록 성안되어 ‘국제물품매매계약에 관한 UN 협약’(CISG)과 같이 강행적 실체법으로서 지위는 담보하고 있지 않음에도 연성법(soft law)으로서 법의 일반원칙 및 상인법(lex mercatoria)에 기초하여 성안된 국제상거래의 자율적 규범이라는 법적 실익을 표창하여 현재까지 국제상 사계약에 있어 주도적 입법으로서 그 지위를 견고히 확립하고 있다. 영국의 경제적 실질과 그 상황은 본고의 논제에 기한 국제상사계약의 전반을 주시할 때, 또한 제반 경제지표를 참조할 경우에도 당해 분야에 있 어서 분쟁이 갈수록 고도화ㆍ첨예화되어 가는 상황이다. 본고 연구 결과의 핵심은 무엇보다 UNILEX에 비추어 국제상사계약에 있어 PICC의 채용은 계약당사자의 임의적 선택이 아닌 필수 불가결한 선 결 요건이라는 점에 있다. 곧 국제상사계약에서 계약당사자의 합의에 기초 한 PICC 채용은 비단 영국뿐만 아니라 CISG를 국내법으로 수용하여 특별 법의 지위를 부여하고 있지 않은, 곧 CISG의 체약국이 아닌 그 밖의 무역 입국과의 국제상사계약에 있어서는 반드시 적용법(applicable law)으로서 계약 내용에 편입하여야 할 긴요한 사항이다. 이러한 논점은 국제상사계약 에 임하고 있거나 임하고자 하는 실무계에 있어 PICC의 법적 기준에 대한 명료한 이해가 필수 불가결함을 시사한다.
Abstract
PICC demonstrates its utility through its status as a universally applicable international legal norm governing international commercial transactions. This effectiveness stems from the fact that the PICC outlines general principles that guarantee legal source in international commercial contracts and allows parties to incorporate the PICC into their contracts. Consequently, it has solidified its position as a leading legislation in international commercial contracts. The UK's economic reality and current situation, when considering the overall scope of international commercial contracts and various economic indicators, demonstrates the increasing sophistication and specialization of disputes. The core finding of this study is that, in light of UNILEX, the adoption of a PICC in international commercial contracts is not an arbitrary choice of the contracting parties, but a prerequisite. This point suggests that a clear understanding of the legal basis for the PICC is essential for practitioners engaged in or intending to engage in international commercial contracts.
