Abstract
With the February 2020 amendment to the Capital Markets Act, large listed companies with total assets of over 2 trillion won are required to include at least one female director on their boards. However, a culture of diversity and inclusion has not yet taken root in domestic listed companies. In particular, not only is the number of female directors low, but the number of female executives, who are the pool for female directors, is also very small. This paper explores ways to expand female executives from a corporate governance diversity perspective, utilizing capital market-related systems such as disclosure systems under the Capital Markets Act. Other countries in the Asian region also tend to utilize capital market-related systems. Since 2013, Japan has been implementing policies to expand female executives, mandating the inclusion of the number and ratio of male and female executives in securities reports, and requiring the description of “women’s activities” and “objectives and policies for women’s activities” in corporate governance reports. Additionally, the corporate governance code applicable to listed companies includes securing diversity, including gender and internationality, as an important factor for boards of directors, and disclosing policies, goals, and the status of women’s appointments to managerial positions. The Australian Stock Exchange also mandates the disclosure of the proportion of women on boards and in senior management and the progress toward these goals through its corporate governance principles. Malaysia’s corporate governance code recommends that boards have at least 30% female directors, and certain large listed companies must appoint at least one female director. Gender diversity in decision-making positions within the company, in addition to board gender diversity, is also necessary to secure a pipeline for female directors. After the amendment to the Capital Markets Act, the number of female outside directors and auditors has increased, but it has had little impact on the number of female inside directors. Therefore, this paper proposes the following as improvement tasks. First, corporate reports should intuitively display the proportion of female directors, disclose diversity policies, and include management and implementation results in business and annual reports. Second, the guidelines for corporate governance reports and the National Pension Fund’s stewardship activities should be revised to consider the development of female executives as a pipeline for female directors, not just focusing on female directors. Third, the corporate governance principles, stewardship codes, and proxy advisory guidelines, which are best practices in the private sector, should be revised to ensure that the board of directors promotes executive diversity policies aimed at increasing female inside directors and executives, with incentives and management accountability systems. Fourth, it is desirable for ESG rating agencies to apply standards that emphasize executive diversity from a governance perspective when evaluating female executive policies. Fifth, investors should also demand that companies disclose goals, support procedures, and programs for expanding female executives. Linking diversity goals to CEO performance indicators or having board committees responsible for diversity and disclosure policies could be considered. In conclusion, gender diversity on boards should extend beyond outside directors to inside directors, executives, and middle managers. The true value of diversity is realized when it is designed to increase female participation in senior management positions. Therefore, the gender diversity provisions of the Capital Markets Act should be strengthened, and plans and measures to cultivate female executives and build pipelines should also be disclosed. The disclosure method should follow the current comply-or-explain policy, with reasons for non-compliance explained.
