Abstract
From August 2022, Section 165-20 in Financial Investment Services and Capital Market Act(FSCMA) will take effect after two year grace period. The section contains gender quota stating “if a corporation is listed in the stock market and its total assets at the end of the business year [capital stock in the case of a company engaging in the business of finance or insurance, (referring to an amount calculated by deducting the total amount of liabilities from the total amount of assets on the balance sheet)] are at least two trillion KRW, its board composition cannot be single-gender.” Although the growing trend toward equality on the board is inspiring and advisable, this paper questions the current mandatory terms in several ways. By providing a comprehensive overview of studies on women on the board of directors abroad, this article argues that only one woman on the board is a mere token representation. Such a representation does not achieve a critical mass to gain benefits from women directors. To realize the benefits of board diversity, women should represent approximately 30% of the board or at least three women on the board. Furthermore, although the inequality problem is evident, it is ambivalent whether women directors on the board or the board diversity will increase the shareholder's wealth and/or promote the firm's values as the empirical findings are mixed. As empirical findings of women on the board are mixed, it would be burdensome for a company to have 30% of women directors on the board on mandatory terms. Hence, this paper suggests two alternatives for a potential amendment of the section. First, instead of adopting a mandatory provision, it would be more desirable to adopt a 'comply or explain' model that several common law jurisdictions, such as the United Kingdom, have adopted. Such a model puts much softer pressure on firms by setting a 20% or 30% target within a fixed timeline and obligates firms to explain when they fail to meet the target. Secondly, this article recommends implementing a hard quota. However, the hard quota should be a sunset provision and thus be more acceptable to companies. Once there are enough women candidate pools, and if it is deemed beneficial for companies to have women on boards, they will voluntarily promote more women to their boards.
