Abstract
This article discusses letter of indemnity at shipment that has traditionally been used for the practical convenience among the practicers in the carriage of goods by sea. The serious attention should be paid to issue the misleading document where, for instance, a shipper, in order to obtain a clean bill of lading, intends to make use of a letter of indemnity. A letter of indemnity shall not be used for the camouflage of a claused or dirty bill of lading for the goods under damaged or unsound conditions. Such a document would constitute the act of deception. In such instances, the third parties as well as the concerned parties could be damaged: The issuance of a clean bill of lading for dirty or damaged goods may expose the shipowner to potentially heavy claims from the bonafide third parties who have relied on the clean bill of lading. When guarantees or agreements, such as letters of indemnity, are accepted by the carrier in consideration for a clean bill of lading, it is tantamount to fraud, and therefore its legal effect or enforceability has been declined by the civil and common law courts. Even under special circumstances without any element of intended deceit,-e.g., in the case of a bonafide dispute as to the apparent good order and condition-the use of the letter of indemnity at shipment leaves the door open for some shippers to conceal their negligence, leading to the potential detriment of commercial confidence generally. For the sound and reliable transactions through the bill of lading in the commercial society, the practice to use the letter of indemnity at shipment, in any case, shall be refrained.
