국제거래에서 이메일 및 전자문서교환(EDI)과 같은 현대적 통신수단의 이용이 급속히 증가하고 있지만, 비서류 메시지 형식에 의한 중요 정보의 통신은 법적장애 및 법률효과의 불확실성으로 인하여 사용이 제한될 수 있다. 전자상거래의 확대 및 중요성에 대한 인식으로 국제기구 및 각국은 전자상거래 관련 입법을 추진해 왔다. 1996년 UNCITRAL은 각국에서 컴퓨터 또는 기타 현대적 통신기술을 사용하는 상거래분야에서 모델법을 제공하기 위하여 UNCITRAL 전자상거래모델법을 채택하였다. 2015년 9월 현재 전자상거래모델법을 기초로 또는 영향을 받아 입법한 국가는 64개국이며, 법정지로는 140개에 이른다. 우리나라도 UNCITRAL 전자상거래모델법을 기초로 1999년 2월에「전자거래기본법」을 제정하였다. 전자상거래 모델법 관련 CLOUT Case는 23건인데, 그 중 1건은 미국 판결(Naldi v. Grunberg (2010))이다. 이 사건에서 원고는 부동산 매매계약을 체결하기 위한 30일 간의 실사기간 동안 우선매수청구권을 보유한다고 주장하고, 그 우선매수청구권 이행의 소를 제기하였다. 뉴욕주 법원은 이메일의 내용이 준거법에서 요구하는 모든 요구사항을 포함하는 한, 이메일은 사기방지법의 서면성을 충족한다고 판단하였다. 그리고 E-SIGN에서 요구하는 전자적으로 기록된 계약에도 서면에 의한 계약과 동일한 효력을 인정해야 한다는 것은 뉴욕주법의 일부라도 판단하였다.
Abstract
Although the use of modern means of communication such as electronic mail and electronic data interchange (EDI) for the conduct of international trade transactions has been increasing rapidly, the communication of legally significant information in the form of paperless messages may be hindered by legal obstacles to the use of such messages, or by uncertainty as to their legal effect. Owing to the increase of electronic commerce and the awareness of its importance, international institutions and many nations have enacted laws on electronic commerce. The UNCITRAL prepared and adopted UNCITRAL Model Law on Electronic Commerce in 1996 to serve as a model to countries for the evaluation and modernization of certain aspects of their laws and practices in the field of commercial relationships involving the use of computerized or other modern communication techniques. The Model Law has been adopted in or influenced 64 States in a total of 140 jurisdictions. Korea, also, was influenced by the Model Law and enacted Framework Act on Electronic Commerce in 1999. 23 CLOUT cases have been reported on the Model Law, including one American case of Naldi v. Grunberg (2010). Plaintiff brought action seeking enforcement of a right of first refusal that plaintiff claimed he held for 30 days while conducting due diligence in contemplation of entering into a contract to purchase real property. The New York court held that an e-mail will satisfy the statute of frauds so long as its contents and subscription meet all requirements of the governing statute. The Electronic Signatures in Global and National Commerce Act‘s requirement that an electronically memorialized and subscribed contract be given the same legal effect as a contract memorialized and subscribed on paper is part of New York law.
