초록

본 논문은 UNCITRAL이 최근 채택한 문안 및 UNCITRAL의 각 실무작업반 (Working Group)의 논의에서 나타난 “전자적 의사표시의 이용 (use of electronic communications)”에 관한 내용을 종합적으로 정리해봄으로써 2005년 채택된 국제계약에 있어 전자적 의사표시의 이용에 관한 UN 협약 (United Nations Convention on the Use of Electronic Communications in International Contracts; 이하 ECC)의 향후 비준 및 관련 국내 입법에 있어 유용한 참고 자료로서의 역할을 하고자 한다. ECC의 채택에도 불구하고 최근의 인터넷 및 전자 상거래의 발전은 정부조달, 중재, 운송, 도산 및 담보 등의 분야를 다루는 실무작업반에서 전자적 의사표시의 이용에 관한 논의를 필요하게 하였으며, 향후 과제 선정에난항을 겪고 있는 실무작업반 IV의 조속한 속개도 요구되는 것이 현실이다. UNCITRAL에서의 전자적 의사표시의 이용에 관한 논의는 ECC에서 규정하고 있는 “기능적 동등성(functional equivalence)” 및 “기술적 중립성(technological neutrality)”에 근간을 두고있다는 점이 공통점이나, 국제거래 각 분야의 필요 및 특성 그리고 논의 결과 최종적으로채택되는 문안의 형식에 따라 다른 모습으로 형상화되고 있다. 이러한 다양한 접근 방식은2008년 1월 ECC를 서명한 우리나라가 추후 동 협약을 비준함에 있어 필요할 수도 있는 국내 법제 정비에 좋은 참고 자료가 될 수 있을 것이라 판단된다.
