선진 국가별 경영권 방어장치의 형성 배경에 대한 비교 연구

초록

외환위기 이후 수년 사이에 M&A 규제 완화가 빠르게 진행된 데 비해, 상대적으로 경영권 안정을 위한 보호장치는 취약해졌다. 이에 따라 미주 및 유럽의 선진국들이 활용하고 있는 경영권 방어장치를 적극 벤치마킹하여 경영권 안정을 도모해야 한다는 목소리가 높아지고 있다. 그러나 국내에 유사한 제도를 도입하려는 시도는 한국적 상황과의 적합성을 고려한 가운데 이뤄져야 본연의 취지에 맞는 효과를 거둘 수 있다. 본 연구는 미국, 영국, 독일, 스웨덴, 네덜란드, 일본 등 6개 선진국에서 형성, 발전된 경영권 방어장치의 유형과 활용 사례를 동태적 관점에서 비교 고찰한다. 특히 많은 경영권 방어장치들이 특유한 경제적, 사회적 맥락에서 자생됐다는 인과관계에 초점을 맞춘다. 나아가 한국의 경영권 시장과 기업지배구조 발전을 위해 정책적으로 지향해야 할 경영권 방어제도 개선 방향을 제시한다.

Abstract

Among a variety of mechanisms that affect corporate governance in a specific country, the market for corporate control is probably the most powerful one as it can radically threaten top executives’ job security. This study investigates the historical development of corporate governance in six advanced countries United States, United Kingdom, Germany, Sweden, Holland, and Japan with an intended focus on the defense measures against hostile takeover attempt. Takeover defense measures in a country tend to evolve with unceasing trials and errors within the country’s unique economic and social context. They are not absolutely universal in terms of time and space solutions, but rather the outcome of compromises and decisions that are path dependent. Accordingly, any attempt to benchmark a specific advanced country’s law or practice would bring expected results only when it is preceded by an adequate understanding of Korea’s economic and social characteristics. By linking the experiences in advanced countries and the history and current circumstances of Korea, this paper suggests some policy directions for developing Korea’s market for control.
