영국의 2020년 스튜어드십 코드의 주요 내용 및 그 시사점

영국은 2007년 8월 9일 발생한 금융위기를 기화로 2009년 워커보고서(Walker Review)의 권고를 수용하여 2010년 7월 기관투자가의 참여를 촉진할 수 있는 스튜어드십 코드(Stewardship Code)를 마련하였다. 이후 동 코드는 2012년에 개정되어, 7개의 원칙(principles)을 도입하였고, 구체적인 적용정책을 정한 지침(guidance)이 마련되었다. 동 코드의 접근방식은 1992년 캐드버리보고서(Cadbury Report)가 제안한 ‘원칙준수 예외설명’(Comply or Explain approach)이라는 방식이었다. 영국의 2012년 코드의 규범은 우리나라는 물론 주요국으로 전파되었다. 그리하여 우리나라는 2016년, 미국은 2017년, 일본은 2014년 스튜어드십 코드를 제정하였다. 그리고 각국의 회사법제는 물론 자본시장법제의 해석론이나 성문화에도 영향을 미치고 있다. 그런데 2019년 10월, 영국은 7여년 만에 기존의 코드를 「2020년 스튜어드십 코드」(The UK Stewardship Code 2020)로 개정하여 2020년 1월부터 시행하고 있다. 2020년 코드는 형식과 내용 면에서 2012년 코드(The UK Stewardship Code 2012)와는 차별화하고 있다. 형식면에서는 ① 자산소유기관 및 자산운용기관을 위한 원칙(Principles)과 ② 서비스제공기관을 위한 원칙으로 나누어 2012년 코드와 달리 규율하고 있다. 내용면의 주요 변경사항은 ① 스튜어드십 코드의 적용대상자의 확대, ② 스튜어드십 활동의 내용과 그 성과보고, ③ ESG요소의 고려, ④ 적용대상자산의 확대, ⑤ 조직목적 등 5가지가 있다. 이에 따라 영국의 2012년 코드가 주요국 스튜어드십 코드의 원형이라고 할 수 있는 만큼, 2020년 코드 역시 주요국의 분석대상이 될 것으로 보인다. 따라서 이 글에서는 우선 영국의 2020년 코드의 개정 배경 및 경과를 살펴본 후, 주요 내용을 분석하고, 우리나라에 대한 시사점을 제시하고 있다.
Abstract
In response to the financial crisis that arose from August 9, 2007, the UK accepted the recommendations of the 2009 Walker Review and prepared the Stewardship Code in July 2010 to promote the participation of institutional investors. Subsequently, the Stewardship Code was revised in 2012 with the introduction of seven principles and also guidance was prepared for the specific application of policies. The Stewardship Code’s approach was to comply with the 1992 Cadbury Report, or if not to explain (“comply or explain” approach). The fundamentals of the 2012 Stewardship Code (hereinafter “2012 Code”) of the UK spread to other countries including Korea. As a result, Korea enacted a stewardship code in 2016, the USA in 2017, and Japan in 2014. In addition, the codification and interpretation of capital market legislation as well as the corporate laws of each country has been affected. However, in October 2019 the UK revised the existing 2012 Code to the UK Stewardship Code 2020 (hereinafter “2020 Code”), and this became effective from January 2020. The 2020 Code is differentiated from the 2012 Code in terms of form and contents. In terms of form the 2020 Code is divided into ① the principles for asset owners and asset managers and ② the principles for service providers and regulated differently from the 2012 Code. There are five major changes in the content: ① expansion of those subject to the stewardship code, ② reporting on stewardship activities and outcomes, ③ consideration of ESG factors, ④ expansion of applicable assets, and ⑤ explanation of organizational purpose, etc. As the 2012 Code can be said to be the prototype of the stewardship code of major countries, the 2020 Code will also be a target for analysis by major countries. Therefore, this study, after first analyzing the background and progress of the revision for the 2020 Code, analyzes the main content and presents implications for Korea.
