Abstract
Article 26(1) of the Private International Law designates ‘the law of the country with which it is most closely connected with the contract’ as the governing law of the contract when there is no chosen governing law by the parties to the contract. However, the meaning of “closest connection” is not clear. The connecting criteria shall be determined based on the parties’ interests since it shall be protected in the international contract governed by parties’ autonomy. Out of parties to the contract, the interest of the party who should execute his contractual obligation shall be considered and the governing law shall be connected to the parties’ domicile not to the place of performance. In addition, the law of a country that the parties would not expect to be the governing law shall not be designated as the governing law. Despite the above, consideration should be given to the governing law of the concerned contracts before the governing law is finally determined. Notwithstanding the above connecting criteria, it is doubtful whether or not ‘the law of the country with which it is most closely connected with the contract’ is the proper and operable connecting factor. For this reason, it is necessary to consider revising Article 26 of Private International Law with reference to change of the Rome Regulation.
