Abstract
This study investigates the mutual checks and balances of co-CEO structure from an agency theory perspective. One of the key decisions of CEOs at the start-up and growth stage of companies is to determine which choice is appropriate for a firm, out of shared leadership and unitary leadership. In the co-CEO structure, compared to solo CEO structure, the decision-making authority is not concentrated at a particular CEO, where information sharing and communication among co-CEOs are essential. Thus, one CEO can monitor other CEO’s opportunistic behavior. Even in the case of the co-CEO structure, however, it would be difficult to expect mutual monitoring effect if co-CEOs are easily confronted with collusion or power struggle due to the influence of controlling shareholders like chaebol firms. Using the sample of firms traded on the KOSPI market from 2001 to 2017, we find that the level of earnings management and real earnings management are lower in co-CEO structure than solo CEO structure, suggesting that the co-CEO structure can play a role to monitor opportunistic behavior of CEOs. We also find that this result is alleviated in chaebol firms. It implies that co-CEO structure of chaebol firms has little effect of mutual monitoring due do potential collusion with controlling shareholders and competitions for higher positions among co-CEOs. This study provides empirical evidence that co-CEO structure can be a corporate governance mechanism.
