기업에 대한 기존의 법적 논의는 기업이 가진 영리적 특색에 주목하여 주로 상법이나 경제 관련 법 영역에서 이루어졌다. 그러나 근래에 이르러 양극화, 일자리 감소, 빈곤계층의 증가 등 신자유주의적인 시장경제의 폐해를 국가와 같은 공적 영역만으로는 극복하기 어렵다는 공감대가 형성되면서, 공적 영역과 사적 영역을 아우르는 “사회적 기업”을 통하여 이를 해결하려는 방안이 각국에서 시도되고 있다. 사회적 기업은 정부와 시장과 연결되어 있으면서 독자적인 조직체의 성격을 지닌다. 그러므로 기존의 기업 개념으로 이러한 새로운 기업형태인 사회적 기업을 포섭할 수 있는 것인지 살펴 볼 필요가 있다 할 것이며, 다른 국가의 경우 어떻게 사회적 기업이 운용되고 있는지 그 현황을 간략히 파악할 필요가 있다. 우리나라의 경우, 사회적기업 육성법이 제정되어 시행되고 있는 바, 이 법률에서는 사회적 기업을 시행령상의 구체적 규정을 통하여 보다 한정적인 의미로 파악하고 있는 실정이다. 또한 최근 시행된 협동조합 기본법과 사회적 기업과의 관계를 법적 측면에서 분석해볼 필요가 있다.
Abstract
The notion of social enterprise first appeared in Italy in the late 1980s, but it really began to be used at the European Level in the mid 1990s. Although the concept of social enterprise itself has not gained the same recognition in Europe countries, it can be summarized as follows: 「Social enterprise are not-for-profit private organizations providing goods or services directly related to their explicit aim to benefit the community. They rely on a collective dynamics involving various types of stakeholders in their governing bodies, they place a high value on their autonomy and they bear economic risks linked to their activity.」 In Korea, the concept of social enterprise was adapted in 2007 by the Law of Supports for Social Enterprise and in 2012 by the Basic Co-operatives Law. These laws embrace non-profit organization as well as co-operatives and private firms as legal entity.
