Abstract
A dark pool, unlike a recognized exchange, is an alternative trading system where pre-trade transparency requirement is exempt. Most of dark pools are operated by securities brokers or dealers. Whereas dark pools contribute to market participants’ avoiding predatory practices by traders, particularly high-frequency traders and reduce trading costs, they may cause conflict of interests due to their engaging in internal trading or harm a price discovery function in securities markets. It is the main reason why regulations should be imposed on the activities of dark pools. As dark pools grow, notably, in 2011, the International Organization of Securities Commission published the ‘Principles for Dark Liquidity,’ recommending six (6) principles regarding dark pools such as pre-trade transparency and its exemptions, post-trade transparency requirement, a reporting system, and disclosure on dark pools’ operations to market participants. Further, major countries such as the United States, European Union, Canada and Australia began to implement a regulatory framework regarding dark pools. Major regulations include pre-transparency requirement and its exemptions, post-trade transparency requirement, a reporting system to the regulatory authorities, and disclosure of dark pools’ operations. In Korea, dark pools are not yet operating, although the relevant law, the Capital Market Act, allows establishment of an alternative trading system. However, as securities markets expand, a demand for dark pools may increase. Thus, the Korean regulator should be ready to implement dark pool regulations. For this purpose, this article recommends that pre-transparency requirement and its exemptions should be clearly prescribed in the Capital Market Act, a reporting system to the regulator should be also stated in the relevant law and regulations, and further dark pools’ operations should be fully disclosed to market participants. Finally, a separate self-regulatory securities market oversight commission should be established so as to efficiently oversee the exchange and dark pools.
