Abstract
In recent years, several countries, including Singapore, the United Kingdom, and Japan, have taken legislative steps to ensure the legal validity and enforceability of electronic bills of lading in relationships beyond the contracting parties. The UN’s adoption of the Model Law on Electronic Transferable Records in 2017 is expected to accelerate the pace of legislative change, but there is a gap in legislation developed between before and after the MLETER, which will be examined in this article. Lawmakers have been particularly interested in how possession should be applied to electronic bills of lading, and one key conceptual issue relates to the use of the term ‘control’, which has no universally accepted legal definition and varies from jurisdiction to jurisdiction. The UK enacted the new law called “Electronic Trade Documents Act of 2023”, and Japan has been working on drafting for the revision of its commercial law for electronic bills of lading with the goal of enacting it in 2024. Given the accelerating legislative developments in major countries, this article analyzes the relevant provisions of the new legislation and compares the various approaches to assess the need for domestic law revision and the possibility of achieving international legal harmonization.
