전문경영인의 관점에서 기업지배구조가 회계정보의 가치관련성에 미치는 영향에 관한 연구: 패널분석을 이용

초록

본 연구는 지배구조가 회계정보(EPS, BPS)의 가치관련성에 미치는 영향을 분석하는 것으로한국기업지배구조원이 한국거래소의 상장기업을 대상으로 작성한 2003~2011년도 지배구조평가 지수를 이용하여 패널분석을 하였다. 전체 기업지배구조 평가는 5개 부문의 하위지배구조(주주권리보호, 이사회, 공시, 감사기구, 경영과실배분) 평가로 구성되어있다. 고정효과모형을 이용한 패널분석에서 전체 지배구조가 주가와의 관련성이 유의하지 않은것으로 나타났다. 5개 부문 하위지배구조 지수중에서는 주주권리보호와 감사기구 부문의지배구조가 주가와 유의한 양의 관계를 나타내었다. 본 연구의 주요 핵심주제인 지배구조가 회계정보의 가치관련성에 미치는 영향을 분석한결과는 전체 지배구조가 강할수록 EPS의 가치관련성은 유의하게 증가하는데, BPS의 가치관련성은 유의하게 감소하는 것으로 나타났다. 하위지배구조 변수의 회계정보에 대한 가치관련성 분석에서는 공시, 감사기구 및 경영과실배분 부문의 하위지배구조가 강할수록 EPS의가치관련성은 증가하는 것으로 나타났고, 이사회부문 지배구조가 강할수록 BPS의 가치관련성이 증가하는 것으로 나타났다. 연도별 추가적인 OLS 분석에 의하면 EPS와 BPS에대한 가치관련성은 서로 대체적인 관계를 보여 준다는 선행연구와 관련이 있는 것으로 해석된다.

Abstract

This paper analyzes the effect of corporate governance on the value relevance of accounting information (EPS, BPS) based on Ohlson model, using corporate governance scores of the listed companies in Korea Stock Exchange. The overall corporate governance score consists of 5 sub-corporate governance scores, such as protection of shareholder’s right, board of directors, disclosure, audit, and distribution of corporate performance. Based on fixed effects model of panel data analysis, overall corporate governance scores did not show any association with stock prices. Further analysis of sub-corporate governance scores showed that the protection of shareholder’s rights and audit presented significant and positive association with stock prices. The analysis of the effects of overall corporate governance on the value relevance of accounting information indicates that as the overall corporate governance score increases, the value relevance of EPS increases significantly, while as the overall corporate governance score increases, the value relevance of BPS decreaes significantly. The effect of sub-corporate governance on the value relevance of accounting information indicated that as the scores of disclosure, audit and distribution of corporate performance increase, the value relevance of EPS increases significantly, and as the score of board of directors increases, the value relevance of BPS increases significantly. Additional regression analysis of annual data shows that the value relevances of EPS and BPS have substitutional effects each other, which was discussed on the previous papers of Collins et al. (1997), Barth et al. (1998), and Davis-Friday et al. (2006).
