론스타 투자자-국가간 분쟁해결(ISD) 사건에 대한 소고 - 론스타의 ISD 과정과 우리정부의 시사점을 중심으로 -

미국계 사모펀드인 론스타가 한국 정부를 상대로 국제투자분쟁해결기구(ICSID)에 제기한 투자자-국가간 분쟁해결(ISD) 판정이 머지않아 내려질 것으로 보인다. 본래 ISD판정은 2016년 말에 내려질 것으로 예상되었으나 그 사안이 중대한 만큼 2017년 중반까지도 그 결론을 내리지 못하였다. 본 논문에서는 한국 정부가 론스타의 한국외환은행 매각을 6년 이상 고의적 또는 자의적으로 지연시켰는지, 론스타에 양도차익의 세금을 부과하는 등의 한국 정부의 일련의 조치는 불합리한 것이라고 하는 론스타의 주장에 대해서, 사실관계 및 론스타와 한국 정부의 주장들의 법리적 근거들과 대법원의 결정을 분석함으로서 론스타 ISD 사건의 객관적 실체를 알아보는 데 그 의의를 두고 있다. 그럼에도 불구하고 ISD는 비공개로 진행되기 때문에 대법원의 판결문과는 달리 쌍방의 사실관계 및 주장을 정확하게는 알 수 없다. 하지만 2012년 론스타가 정부에 제출한 ISD 통고문을 통해서 그 내용을 대략적으로 알 수 있겠다. 본문에서는 이러한 론스타의 주장에 대한 결과를 예상해 본다. 또한 이번 론스타 ISD 사건은 한국 정부에 어떠한 교훈을 주고 있으며, 한국정부의 정책에 대한 투명성과 신뢰성 확보의 필요성에 대해서도 검토해 보기로 하겠다.
Abstract
This article examines critical issues in the current dispute between Lone Star and South Korea regarding Lone Star’s investment in the Korea Exchange Bank that has culminated in an investor-State dispute claim against Korea before an International Centre for Settlement of Investment Disputes (ICSID). Lone Star has requested to the ICSID for its econmic damages because of the Korean government’s interference with its rights as the major shareholder of Korea Exchange Bank during the course of Lone Star’s investments in South Korea. In addition, Lone Star received a great damage as a result of arbitrary and discriminatory taxation of the Korean government. This article will examine well-covered topics in international investment law such as fair and equitable treatment and discriminatory treatment.
