2005년 11월 23일에 UN총회는 국제계약에서 전자통신의 사용에 관한 새로운 협약 즉, 전자계약협약을 채택하였다. 이 전자계약협약은 전자상거래에서의 계약측면에서 존재하였던 법규의 공백을 채우고 있고 종래의 국제상거래를 다루고 있는 기존의 국제협약에도 새로운 방향을 제시하고 있다. 본 협약의 목적은 국제계약에서 전자통신수단의 사용과 관련된 문제에 대한 실질적인 해결책을 제공하는 것이다. 본 협약에서 채용된 기술은 매우 좋은 선택인데 기존 협약들 예를 들면 비엔나협약의 모든 것을 재협상하는 것보다는 기존의 협약에 새로운 의미를 부여하는 것이 더욱 더 쉽기 때문이다. 본 협약은 다른 국가에서 영업소를 가지고 있는 당사자들간의 전자계약에서 전자통신의 사용을 규율한다. 본 논문의 목적은 다른 규칙과의 비교법적 연구의 관점에서 전자계약과 관련된 가장 중요한 조항을 간단히 살펴봄으로서 전자계약협약의 이해를 제고하는 것이다.
Abstract
On 23 November 2005, the United Nations General Assembly adopted a new Convention on the Use of Electronic Communications in International Contracts, that is, E-contract Convention. The E-Contract Convention fills a legal gap that has existed in contract respect in E-Commerce and gives also new life to old international conventions that deal with traditional international commerce. The purpose of the Convention is to offer practical solutions for issues related to the use of electronic means of communication in international contracts. The technique adopted in this Convention is a very good choice, as it is much easier to give new meaning to older conventions such as Vienna Convention than to renegotiate all of them. The Convention governs the use of electronic communications in electronic contracting between parties whose places of business are in different states. The purpose of this paper is to contribute to the understanding of E-Contract Convention by giving a brief account of its most important provisions related to electronic contracting in view of the comparative study with other rules.
