국민경제에 악영향을 미치는 공공기관의 도덕적 해이(moral hazards) 사례는 끊임없이 지적되고 있다. 이러한 공공기관의 비효율적인 운영은 방만한 관리에서 일어나는 원인도 있으나, 근본적으로 공공기관의 공적 소유권 때문에 발생하는 주인-대리인 문제(principal-agent problems)로 인한 원인도 무시할 수 없다. 따라서 공공기관의 성과를 제고하기 위해서는 관리제도의 개선 못지않게 공공기관의 통치･소유･지배구조의 개혁이 중요하다. 특히 공공기관 이사회의 무분별한 증원 방지 및 일관성 있는 정원관리를 위해 합리적인 정원 책정기준이 필요하다. 공공기관 이사회 정원의 결정이 환경에 적응하여 가치를 극대화하기 위한 선택의 결과라고 할 때, 우리나라의 공공기관 이사 정원은 어떤 요인에 따라 결정되는가? 공공기관 이사회 정원의 합리적인 책정기준을 제시하기 위해서는 현재 어떤 기준에 의하여 이사회 정원이 결정되었는지에 관한 설명이 선행되어야 할 것이다. 이 연구에서는 우리나라 공공기관 이사회 정원의 결정요인을 경험적으로 분석한다.
Abstract
The problem of moral hazards in public corporations has been accused for a long time by media. The moral hazards are caused by inefficient management as well as by principal-agent problems of public corporations. Therefore, it is very important to reform not only the management system but also the control and ownership structure of public corporations. Especially, the reasonable criteria of the proper number of the board of public corporations are crucial for high productivity. What determines the number of the board of public corporation in Korea? This studyt ries to find practical answers of the question.
