본 소고에서는 기업지배구조의 비경제적인 결정요인들을 살펴보고 기업지배구조를 독립변수로 취급하기 보다는 종속변수로 취급해야 함을 제안하고 있다. 즉, 신고전학파의 이론적인 틀에서 인식되지 못하는 비경제적인 결정요인을 제약조건으로 두고 이들 제약조건 내에서 대주주가 자본효율성을 극대화하려 할 때 나타나는 균형점이 현재 목격되는 기업지배구조라는 시각이다. 따라서 기업지배구조를 바꾸려면 법제도를 통해 직접적으로 기업지배구조를 규제하기 보다는 제약조건을 바꾸어 균형점이 이동하도록 해야 함을 주장한다.
Abstract
In this article, the noneconomic factors that can influence corporate governance are examined. The article proposes that those noneconomic factors be considered as constrains to the traditional model where the shareholders are maximizing their wealth. In this perspective, the various types of corporate governances that are currently observed across nations are perceived as equilibriums. According to this view, if any Government tries to change the types of corporate governance of its large firms, it does better altering the constraints rather than directly controlling their ownership structures through regulations.
