기금형 퇴직연금 지배구조의 평가와 개선방향: 정부안을 중심으로

초록

본 연구는 대리인이론, 포획이론 그리고 비영리단체론에 근거하여 현재 논의 중인 기금형 퇴직연금제도의 지배구조를 평가하고 개선점을 제시한다. 이를 위해 대리인문제의 다층성, 사용자에 의한 기금 포획현상, 사용자로부터 기금의 독립성과 투명성 확보 관점에서 살펴본다. 주요 평가 결과로서 첫째, 지배구조 주체를 ‘가입자 vs 사용자’가 아니라 ‘노ㆍ사 vs 퇴직연금사업자’로 설정했다는 점이다. 둘째, 지배구조의 목적 또는 정체성이 모호하다는 점을 언급할 수 있다. 셋째, 비영리기구인 수탁법인이 사용자로부터의 독립성 그리고 투명성 확보가 부족하다는 점이다. 넷째, 외부전문가의 R&R이 불명확하다는 점을 언급하지 않을 수 없다. 마지막으로 DB형과 DC형 지배구조를 구분하지 않고 있다는 점이다. 퇴직연금제도의 도입 편리성, 운영상의 비용 문제 등으로 계약형이 먼저 도입되었지만, 가입자의 수급권 강화라는 지배구조 본연의 목적을 달성하기 위해서는 상기의 문제점이 상당부분 해소된 개선안이 제시되어야 할 것이다.

Abstract

This paper evaluates the governance of trust-based retirement pension scheme by agency theory, capture theory, and nonprofit theory. To suggest strategies for improvement, we explore the multi-layered nature of the agency problem, the capture of funds by sponsors, and the independence and transparency of funds from sponsors. The main findings are summarized as follows: (1) The main agent of governance is set as ‘labor-management pension service provider’ rather than ‘participants-sponsors’. (2) The purpose and identity of the governance is unclear. (3) The independence from sponsors and transparency of the trustee as a nonprofit organization is insufficient. (4) The R&R of external experts lacks clarity. (5) The governances of DB and DC are not distinguished. Although the contract-based scheme has already been implemented because of its high feasibility and cost efficiency, a newly improved plan is needed in order to achieve the fundamental purpose of strengthening the entitlement of participants.
