독일 기업집단의 성장전략 및 성장재원 확보방안에 관한 사례연구

한국의 기업집단은 한국경제발전과 함께 글로벌 기업으로 성장해왔지만, 외환위기 이후 그룹차원의 통합조정기능 등이 약화되는 등 성장전략과 관련하여 많은 변화를 보이고 있다. 최근 한국 기업집단들이 그동안 비판받아 왔던 선단식 경영체제에서 벗어나 지주회사 체제로 전환 등 지배구조 개선에 노력하고 있어 과거의 부정적 인식을 넘어 새로운 기업집단 성장전략의 수립 및 안정적인 성장재원의 확보필요성이 증대되고 있다. 이러한 한국 기업집단의 새로운 성장전략의 모색 및 성장재원의 확보방안의 검토와 관련, 독일 기업집단 사례에 대한 연구는 좋은 시사점을 제공할 수 있다. 본 연구에서 베르텔스만(Bertelsmann AG), 지멘스(Siemens AG), 그리고 린데(Linde AG) 등 독일의 대표적인 기업집단을 선정하여 성장전략과 성장재원확보 방안에 대한 사례분석을 실시하고 한국 기업집단에 대한 시사점을 도출하고 있다. 본 연구에 따르면 독일기업집단의 기업성장전략의 경우 내부적인 성장과 M&A 등을 통한 외부적인 성장전략이 비슷한 비중하에 추구되고 있다. 성장재원으로는 그룹전체 자금 풀링을 통한 내부재원의 효율적 활용과 수익증대 등 내부성장재원의 확보와 함께 금융자회사의 설립을 통한 통합적 조달 등 외부적인 재원의 효과적인 활용도 이루어지고 있다. 독일 기업집단의 사례분석결과, 한국의 기업집단의 성장전략과 관련하여 다음과 같이 세 가지 측면에서 시사점을 도출할 수 있다. 첫째, 한국 기업집단의 경우 M&A를 통한 성장전략이 독일 기업집단의 경우에 비해서 상대적으로 활용되고 있지 못하고 있다. 글로벌 성장측면에서 한국 기업집단들도 M&A를 적극 활용할 필요가 있다. 둘째, 기업집단의 성장재원 확보방안과 관련하여 독일의 경우에 비해서 한국의 경우 기업집단 전체의 내부재원을 성장재원으로 효과적으로 활용하지 못하며, 외부재원 조달을 통한 성장재원확보에 있어서도 상대적으로 효율적이지 못하다. 이와 관련하여 본 연구에서는 지주회사 제도 등에서 전향적인 정책의 추진이 필요하다는 점을 지적하고 있다. 셋째, 기업집단의 성장 전략 및 재원확보와 관련하여 그룹차원의 콘트롤 타워의 기능이 한국 기업집단의 경우 외환위기 이후 크게 약화되었는데, 국제적인 성장과 경쟁력 제고를 위해서 그룹차원의 조정 및 기획기능의 강화에 대한 논의가 필요하다는 점을 지적하고 있다.
Abstract
This study deals with the cases of the growth strategy and financing of three German conglomerates, such as Bertelsmann AG, Siemens AG, and Linde AG. Based on the case study results some managerial and policy implications for Korean conglomerates are provided. According to this study we can find out that German conglomerates are using growth strategy of both enhancing the competitiveness of existing businesses and expanding business areas through mergers and acquisitions (M&A). Also, German conglomerates are financing the growth strategies not only by using or rationalizing the internal financial sources, but also by optimally utilizing the external financial sources. By comparing unique characteristics of growth strategies and financing activities between German and Korean conglomerates, this study draws three implications for Korean conglomerates. Firstly, it might be recommendable for Korean conglomerates to utilize M&A strategy much more actively, especially for establishing their strong competitive positions in the global market. Secondly, in comparison to German cases, Korean conglomerates are using both internal and external financial sources quite a bit inefficiently, mainly due to the strict government regulations on financial soundness of chaebols. Considering advanced corporate governance system in Korea after the financial crisis, it might be needed to deregulate the rules, such as the prohibition of establishing financial subsidiaries under the holding companies. Lastly, contrary to the German cases, the planning and coordinating functions of Korean conglomerates for entire group of business sectors and subsidiaries have been weakened since the financial crisis. It might be necessary for Korean academia and policy makers to discuss this issue, as the need for growth and enhancing competitive advantage of Korean firms in the global market becomes greater than ever.
