Abstract

Steel cargo stored in open yards prior to loading inevitably develops a certain degree of rust on its surface due to exposure to atmospheric oxygen. Nevertheless, ocean carriers frequently face situations where, at the request of the shipper, they must issue a clean bill of lading – that is, a bill of lading that contains no notation of such rust or even states that the cargo was in apparent good order and condition despite the presence of rust. However, when an ocean carrier issues a clean bill of lading in these circumstances, the ocean carrier may incur liability for cargo damage toward the consignee by virtue of the bill of lading’s documentary nature and the conclusive effect of its statements, notwithstanding that the rust damage did not occur during the period of ocean carriage. To avoid such risk, ocean carriers have developed clauses in bills of lading providing that a notation of “apparent good order and condition” does not mean the absence of visible rust or moisture. By inserting such a reservation or defining clause in the bill of lading, the ocean carrier seeks to be relieved from the adverse consequences that may follow from issuing a clean bill of lading. In practice, this type of clause is commonly referred to as the “Retla Clause”. There is, however, a divergence of views as to whether the Retla Clause should operate with the effect intended by ocean carriers, and the approaches taken by U.S. and English courts appear to differ. This paper examines the nature and background of the Retla Clause, analyzes the differing judicial positions in the United States and England regarding its legal effect, and considers whether, from the perspective of the Korean law, the clause should be regarded as valid.
