오늘날 경제적 양극화나 고용 불안정의 문제를 해소하기 위한 수단으로 각국은 사회적 경제 개념을 기업 활동에 도입하는 것이 세계적인 추세이고, 이러한 활동을 하는 기업들을 사회적 기업(social enterprise)이라고 일컫는다. 영국의 경우 이러한 사회적 기업들은 지역공동체 기업, 협동조합, 개발트러스트, 사회적 회사, 자선단체, 공정무역기구 등과 같은 다양한 형태의 활동으로 존재하였다. 2004년 영국정부는 특히 자금조달 면에서 보다 효과적이고 투명한 운영과 더불어 자산동결로 인하여 이윤이 사내에 유보되는 새로운 형태의 회사법적 조직인 공동체이익회사(Community Interest Company: CIC)를 회사법에 도입하였는데, 이것이 2004년 회계감사, 조사 및 사회적 기업에 관한 회사법이다. 이 법의 도입은 상사적인 이윤추구라는 회사 목적에 익숙한 기존 회사법 체계에 회사의 목적이 공동체 이익 추구에만 한정되는 새로운 회사 형태를 도입하였다는 데에 큰 의미가 있다. 그리하여 본고에서는 공동체이익회사(CIC)의 도입배경과 그 주요 법적인 특징을 살펴보기로 한다.
Abstract
In recent days, Social enterprise is regarded as a vehicle to recover the problems from the failure of the company and the market by many countries. The main aim of Social enterprise is a introduction of social economy and co-operative community. In UK there are so many forms of social enterprise including community enterprise, co-operative, development trusts, social firms, charities and fair trade organization. But these forms of social enterprise are not enough to cover the financing problem and a doubt in the governance frame of non profit organization. This is why the Uk government established a new type of company, the community interest company(CIC) in the Companies(Audit, Investigation and Community Enterprise) Act 2004. The CIC incorporate as companies, either as a company limited by shares or a company limited by guarantee. The distinguishing features of the CIC are that it pursue social purposes but is subject to restrictions regarding the payment of dividends and asset block. This new type of corporation, CIC, seems to be considered a success, since by early 2013 more than 8,000 CIC had registered.
