Abstract
Shareholder voting, especially its decision-making function, is the most fundamental part of the corporate governance. There are many hypotheses on the theoretical justifications of the shareholder franchise, and the main theoretical ground on why only shareholders are given the voting rights is that shareholders have the right incentives to increase the value of firms. Under this justification, there are several empirical studies proving that the shareholder voting on electing directors and approving M&A transactions is generally effective on increasing the value of firms. Since 1980s, the role of institutional investors possessing large blocks on many public firms has started to be recognized as the crucial part on corporate governance in the US, but the success of institutional investors has been somewhat limited to date. The institutional investors are just rationally reticent and undervalue governance rights due to their incentives (or lack thereof), institutional and managerial myopia, and intermediary agency problems. At this point, activist investors such as hedge funds come into play. The business model is that hedge funds identify undervalued firms and offer quality proposals, and then institutional investors, who are passive large blockholders, agree or disagree with the strategic proposals of activists. Some criticize hedge fund of its “short-termism”, but empirical studies show that long-term effects of hedge fund activism are quite positive. In Korea, we also need to consider the role of activist shareholders positively. The difference between the corporate governance environment of Korea and that of the US is that institutional investors in Korea do not have as large blocks as US institutional investors and there usually exist controlling shareholders in large firms of Korea. Thus, we can assume that activists in Korea will take advantage of litigation as leverage when they try to intervene on corporate governance. Under simple event study on recent hedge fund activism cases in Korea, we can glimpse the market reactions on hedge fund activism and its use of litigations. The last part of this article is discussions on designing the shareholder voting structure in Korea. Specifically, this article discusses issues regarding the structural bias of shareholder meetings, advisory voting, decoupling of control rights and cash flow rights, role of proxy advisory firms, electronic shareholder meetings and blockchain, voting structure of passive institutional investors, and litigation of activist shareholders.
