Abstract

This study analyses the case of business succession with family contract of Henkel and Mulliez. At the German conglomerate, Henkel, family shareholders signed the “Henkel family share-pooling agreement” in 1985. Based on this agreement the company experienced a smooth and successful business succession and further company growth until today. Descendants of Louis G. Mulliez-Lestienne, the founder of the first company of Mulliez group, agreed and signed in 1955 a family contract, so called “Association Familiale Mulliez (AFM)”. For more than 60 years after the AFM the Mulliez group have been successfully transcended to next generations, and became one of the largest conglomerate in France. The study found three advantages of family contract in successful business succession based on the case analysis. Firstly, the family contract contributes to minimize the sustainability risk by avoiding share disperse among numerous family descendants generation by generation. Secondly, the contract could provide an institutional framework to select a family shareholder CEO, who can represent all family shareholders. Thirdly, the family contract could also coordinate regularly the various interests of many family shareholders, and therethrough could prevent potential conflicts that might happen during business succession, once for decades. Among Korean large conglomerates there has not yet been a case of business succession case using family contract. As a considerable number of Korean large companies experience severe conflicts in business succession among family shareholders, it is recommendable to refer the cases of family contract in this study.
