사회적 성과보상채권(SIB)의 유형별 법적 성격 검토

세계적으로 빈곤문제, 소득의 양극화 등 다양한 사회문제의 발생은 정부의 재정지출을 증가시켰다. 이런 문제들을 해결하기 위해 2010년 영국은 세계 최초로 사회적 성과보상채권(social impact bond: SIB)을 발행하였다. 국내에서도 2014년 지방자치단체별로「사회성과 보상사업 운영 조례」를 제정을 시작으로 2016년부터 본격적으로 서울특별시와 경기도에서 사회성과 보상사업을 운영하고 있다. 현재까지는 많은 사회성과 보상사업이 활성화되지 않아 기관투자자들과 개별적인 투자계약을 맺어 투자가 진행되었다. 그러나 앞으로 사회적 성과보상채권이 지속적으로 활성화되기 위해서는 공모 형태로 민간 투자자들의 진입을 확대시켜나가야 할 것이다. 사회적 성과보상채권은 단순히 투자계약 형태로 운영될 경우 당사자 간의 계약에 의해 투자자가 보호받을 수 있지만, 불특정 다수에게 발행할 경우 투자자 보호 요건을 갖추어야 한다. 증권 유형에 따라 자본시장법상 투자자 보호 요건이 다르므로 이를 구분하여야 한다. 또한 사회적 성과보상채권은 운영구조에 따라 발행 시 원금이 보전되는 경우와 원금이 손실되는 경우로 나눠지기 때문에 유형별로 법적성격을 나누어야 한다. 원금이 보전되는 경우 사회적 성과보상채권은 금융투자상품 중 채권에 해당한다. 그러나 원금이 손실되는 경우 파생결합증권이나 투자계약증권에 해당할 수 있을 것이다. 사회적 성과보상채권은 투자자가 사회성과 보상사업에 금전 등을 투자하여 사업운영기관과 사업수행기관이 수행한 사회성과 보상사업의 성과에 따라 손익을 귀속 받는다는 점에서 투자계약증권에 해당한다. 이에 따라 유형별로 사회적 성과보상채권의 법적 성격을 나누어 발행 공시 조건을 완화해주어야 보다 사회적 성과보상채권이 활성화될 수 있을 것이다.
Abstract
The occurrence of various social problems worldwide, including poverty and polarization of income, has caused many problems as the government increased fiscal spending. To address these problems, in 2010 the UK issued the world's first social impact bond (SIB). In Korea, the local governments enacted the「Operation Ordinance for Social Performance Compensation Project」in 2014, and has been operating social performance compensation projects in Seoul and Gyeonggi-do since 2016. So far, many social performance and compensation projects have not been activated, investments have been made through individual investment contracts with institutional investors. In the future, however, general investors will have to enter in the form of a public offering in order to continue to vitalize social impact bond. Social impact bond can be protected by an agreement between the parties when operated in the form of an investment contract, but they must meet the requirements of investor protection when issued to public offering. The requirements for investor protection under the Capital Market and Financial Investment Services Provider Act should be distinguished depending on the type of securities. In addition, social impact bonds are divided into cases where principal is preserved and when the principal is lost, depending on the operating structure. When the principal is preserved, social impact bonds are the bonds among financial investment instruments. However, if the principal is lost, it could be a Derivative Linked Securities or Investment Contract Securities. Social impact bonds are investment contract securities in that investors invest their money in social performance compensation projects and receive profits and losses depending on the performance of the social performance compen- sation projects carried out by the business operation and the business performance agencies. Accordingly, the social impact bonds can be activated by dividing the legal nature of social impact bonds by type to ease the disclosure requirements.
