Chinese government’s corporate policy played a major role on corporate growth in modern China. But, we need not support ‘developmental state’ approach which praise Chinese government’s distinguished ability. ‘Developmental state’ approach only attach importance to power group’s achievement, not structure and character, it could also ignore that corporate’s deformed growth has occurred in China. In fact, Corporate growth in China was blindly pursued. From this, I analyzed China’s corporate policy decision-making mechanism as institutional background of corporate growth in China. As a result, China’s corporate policy is influenced directly by relation between state and business which have been closely connected with party-state relation, lines-pieces(tiaokuai) relation and central-local relation, adapting herself to new change in international circumstance and institutional reform experiments. In more microscopic view, firstly, policy idea about corporate growth was made under the Chinese communist party’s ideological leadership. But, it was made in collusion between politics and business and competition for gain between the various collusion parts or agencies, distorting original policy, while central state have to solve the troubles.
