이 글은 2014년에 내려진 판결들을 중심으로 대법원이 판단한 중요한 회사 법리를 검토한 것이다. 본문에서는 11개의 판결을 (i) 주권과 주주, (ii) 주주총회, (iii) 이사의 직무집행, (iv) 회사 자본조달 및 구조조정의 네 분야로 나누어 살펴보았다. 다른 해와 비교할 때 제권판결, 주권발행전 주식의이중양도 등 주권 및 주식양도를 둘러싼 중요한 법리를 댜룬 판결이 많았던 것이 특징적이다.
Abstract
Among those decisions rendered by the Supreme Court of Korea in 2014, this paperfocuses on corporate law cases dealing with critical jurisprudence. Eleven major decision in thispaper are classified as ① share certificates and its ownership, ② shareholders’ meeting, ③directors’ misconducts and ④ corporate financing and restructuring. Compared to prior periods, theyear 2014 had several important decisions on the jurisprudence surrounding share certificates.
