Abstract
It is assumed that a great amount of oil and gas are reserved in North Korea territory, especially under 7 basins areas. In the era of ‘resources wars’, South Korea, as a non oil-producing country, needs to pay attention to it. For Korean Oil companies, participating in oil and gas exploration and production(E&P) project of North Korea can be a good starting point of NK resource development which also contributes to strengthen the economic power of Unified-Korea. There are two ways of exploiting NK’s resources; signing a contract with NK’s government or taking over the existing contract. At present, South Korea has poor experienced in overseas resource development projects due to the lack of capitals, high-technology, skilled experts which ends up with a joint venture or consortium. In line with this, the second option, taking over the existing contract, will be a realistic option. However, NK resource development project has ran into a series of risks because of the political instability and a lack of trustfulness of the North Korean government. From now on, International Oil companies and Korean Oil companies which want to participate NK resource development project should prepare for it bearing in mind those governmental risks. This paper suggested designing stabilization clause, renegotiation and adaption clause, applicable law clause, arbitration clause and waive of sovereign immunity clause as a safeguard and inserting those clauses in a contract. On the other side, unification is another variable. Considering South and North Korea’s “temporary special relationship”, it is necessary to examine the existing contract in the light of “state succession”. Therefore, in a significant change situation, the reunification of North and South Korea, it is necessary to focus on how to deal with the existing contract between NK and International Oil companies. Although there are somewhat differences in composing specific grounds or constructing theories, many commentators are moving towards the idea that admits reunified Korea’s “state succession” including the existing contract concluded by NK and International Oil Companies before the reunification. Based on this viewpoint, the Reunified Korea will be able to change the existing contract to our advantages by making use of the stabilization clause, renegotiation clause. In addition, the Reunified Korea Oil companies should control the existing operator E&P project as a non-operator through Joint Operating Agreement provision provided that it does not make any loss or damage against existing contract parties, international oil companies. Meanwhile, when the oil and gas E&P projects performed in the off-shores adjacent with China or Russia territory, the Reunified Korea should encourage for stake holders to take Unitization agreement for a speedy development and production. When the projects developed in the conflict areas, the Reunified Korea shall take Joint Development Agreement for continuous and steady progress.
