Abstract
The aim of this paper is to review problems of conflict of interest, and the another aim of this paper is to reveal several ways in which an employee might fail to live up the responsibility to pursue the interest of business. And the focus of this paper is to evaluate clear case of conflict of interest. Conflict of interest in business arise when the personal interest of an employee interfere with the professional judgments of employee. More Correctly, conflict of interest arise when the self-interest of employees in positions of trust leads them to discharge their workplace in ways that may not be in the best interests of the business. And an unethical conflict of interest occurs with the case of commercial bribes and the case of employee theft and the case of using of employee about trade secrets, and the case of insider trading. The most clear case of an unethical conflict of interest occurs with commercial bribes, that is kickbacks. A commercial bribe is an unjust payment that occurs when a portion of some payment is paid back to the payer as an rebate to make the original payment. And an employee to appropriate additional benefits for himself or convert business resources to the employee's own use are forms of employee theft. The employee's use, or copying of computer information or programs constitutes employee theft. And then a such use of trade secrets by the employee is unethical because it is using the property of business for a purpose of self-interest. Insider trading is also unethical. Because the employee who trades on insider information in effect steals this information and thereby gains an unjust advantage. But why would anyone think that this problems are unethically? Three answers suggest themselves. The first defense appeals to fiduciary duty of employees in business, and the second defense appeals to the rights and duties created by the contractual agreement. And third defense appeals to a version of the consequentiality, that is, versions of utility argument and rational self-interest argument.
