일본기업의 소유구조와 고이즈미 정권의 친기업정책

초록

본 논문은 고이즈미 정권의 친기업정책 중 출자규제 폐지와 경영권 방어수단 도입의 두가지 사안에 초점을 맞추어 이들의 제도변화가 일본기업의 소유구조 특성을 감안할 때 어떠한 의미를 가지는지 고찰하고 있다. 일본기업의 소유구조는 상당한 정도의 집중경향을 나타내고 있고 최근 상당한 변화가 있음에도 불구하고 기업들 간에 상호주식보유로 인한 긴밀한 출자관계가 여전히 유지되고 있다. 소유구조와 밀접한 관련을 갖고 있는 대기업정책 분야의 제도변화는 두가지 의미로 해석될 수 있다. 첫째 고이즈미 정권의 친기업정책은 규제완화 차원의 성격이 강한 반면 소유구조와의 관련 측면에서 정합성이 다소 떨어진다는 점이다. 둘째 친기업정책이 직접적인 영향이나 즉각적인 효과를 기대해서가 아니라 기업활동의 분위기 조성과 선택지 확대 관점에서 추진되었다는 점이다.

Abstract

This paper aims to explore the meaning and impact of Koizumi regime's pro-business policies along to the ownership structure of Japanese firms. Two institutional changes are analyzed: abolition of regulation on total amount of capital investment and introduction of new anti-takeover devices. Ownership structure of Japanese firms can be viewed as concentrated to some extent, and the mechanism of cross-shareholding is still maintained. Institutional changes with regard to the ownership structure may have two interpretations. First, pro-business policies under Koizumi regime focuses mainly the aspect of deregulation, thus lowering the fitness with the perspective of ownership structure. Second, pro-business policies in Japan intended the fostering of corporate activity and expanding strategic alternatives, rather than expecting the direct influence or immediate effects.
