Combating Corruption and Foreign Bribery -A Critique of South Korea’s New Compliance Officer and Whistleblower Protection Laws

대한민국 국회는 2011년 부패척결과 법규준수 및 윤리적 기업문화의 조성을 위하여 두 가지 새로운 법률을 통과시켰다. 즉, 국회는 상법을 개정하여 중소 상장 회사들로 하여금 준법지원인을 고용하도록 함은 물론 ‘준법지원 및 통제 지침’을 정립하도록 하였다. 또한 국회는 공익신고자 보호법을 제정하였다. 이 논문은 부패척결은 물론 외국 공무원에 대한 뇌물제공의 금지라는 배경하에서 도입된 위 법률들에 대하여 우선 검토하였다. 아울러, 이 법률들이 국내외에서 영업하는 우리 기업들로 하여금 윤리적 기업문화를 조성하도록 지원하였는지 여부를 고찰하였다. 특히 이 논문은 한국의 기업 관행에 대한 전반적인 인식을 바탕으로 위 법률들을 검토하였다. 나아가 위 법률들과 이에 상응하는 미국의 법률들을 비교 검토하였다. 마지막으로, 이 논문은, 한국 정부에 대하여, 이 법률들을 반－부패 정책과 체계적으로 결합시키도록 하고, 준법지원 관련 기업 지침과 공익신고 절차를 활용하여 기업들이 준법과 윤리적인 기업 활동을 증진하는데 필요한 몇 가지 제안을 하였다.
