Abstract
Until the 19th century, U.S. government directly regulate the companies’ incorporation and operation as well. In the 20th century, the U.S. corporate law took the enabling frame. The regulatory function of the corporate law remains only in the form of ex-post supervision on the director’s liability. There have been many external laws outside corporate law, which regulate the externality of the company, but the regulatory gap needs to be filled by the courts with ex-post liability of the directors. Delaware courts seem to have struggled to establish the public policy in the corporate law. Schnell case introduced the equitable principles. Van Gorkom case in reality applied an ordinary negligence standard for the breach of the duty of care. Technicolor case acknowledged the breach of the duty of good faith. Emerald Partners case found that an exculpation defense under DGCL § 102(b)(7) is an affirmative defense that the directors must bear the burden of negating the breach of the duty of loyalty and good faith. Delaware courts tried to provide the justice and equity in respective corporate case.
