Abstract
This study begins with the critical observation that current legal and tax frameworks in Korea actively discourage high-value asset donations, particularly in the form of corporate stocks, despite the vital role of public interest corporations in mobilizing private resources for the public good. Existing regulations, including the Public Interest Corporation Act and the Inheritance and Gift Tax Act, impose significant barriers such as excessive regulatory oversight, dual supervision by administrative and tax authorities, restrictions on voting rights, and tax-related uncertainties, which have created a chilling effect on philanthropy. Drawing on a comparative analysis of legislative models in the United States and Japan, this paper proposes concrete legal and institutional reforms designed to balance rational deregulation with the preservation of public accountability. The study puts forward the following specific recommendations. First, the Public Interest Corporation Act should be amended to provide an explicit legal basis for accepting donations of securities like stocks and to differentiate mandatory spending obligations based on asset type. Notably, mirroring the “payout requirement” for private foundations in the U.S., Korean public interest corporations should be permitted to utilize investment income (such as dividends) from donated assets to meet their spending requirements, thereby enhancing operational flexibility without liquidating the principal asset. Second, the tax code must be revised to substantially boost incentives for giving. To this end, this paper recommends significantly raising or eliminating the current tax-free threshold (5-10%) on stock donations under the Inheritance and Gift Tax Act and introducing a “conditional tax deferral” system. This system would defer and ultimately waive gift taxes on the condition that the donated stocks are sold within a specified period and the proceeds are used for public interest purposes. These institutional reforms are intended not merely as deregulation, but as a means to foster a broader culture of giving and enhance the autonomy and sustainability of public interest corporations. The ultimate objective is to invigorate private participation in the public sector, thereby alleviating the government's fiscal burden and contributing to social integration.
