Abstract
Despite the importance, a proper understanding of the Chinese economy and corporate governance is by no means easy, partly due to its ambiguous nature of “the market economy with socialist characteristics.” A socialist flavor of the Chinese economy is best illustrated by the dominance of state-owned enterprises, a subject mentioned in any reform discourse virtually without exception. It is impossible to discuss the Chinese economy and corporate governance without addressing SOEs. SOEs have undergone substantial changes in the process of rapid economic development since 1978 and the SOE reform is still being discussed. The Guiding Opinion regarding the Deepening of SOE Reform released in September 13, 2015 is a prime example showing the Xi Jinping regime’s continued interest. SOE reforms that have been accomplished so far can be summarized as privatization. The dramatic rise of Chinese economy and its capital market may be due to the privatization of SOEs, which has largely shaped the topography of Chinese economy and corporate governance. The purpose of this paper is to review the privatization of SOEs and the resulting development of the capital market as a preliminary step to examine corporate governance in China. The paper proceeds as follows. Part II surveys historical development of SOE reform. Part III explains the privatization of SOEs and the rise of the capital market. Part IV discusses the growing importance of privately-owned enterprises in the national economy. Part V addresses the share ownership structure, a principal factor shaping corporate governance. Part VII concludes with some observations on current reform efforts by the government.
