최근 라임, 옵티머스 펀드 사태와 같이 초대형 투자피해 사건이 발생한 상황에서 우리 국회(정무위원회) 및 금융당국에서도 투자자 보호에 별다른 대안을 내놓을 수 없는 우리 법제 현실을 개선할 필요가 있다는 공감대가 높아지고 있고, 그 대안으로 Fair Fund 제도를 도입하자는 주장이 나오고 있다. FAIR Fund는 투자자 피해보상을 위해 사용된 펀드기금을 말한다. 미국은 일찌감치 Fair Fund 제도와 class action을 통해 억울한 피해 투자자를 구제해 왔으며, Fair Fund는 강력한 집행권한과 신뢰를 갖고 있는 SEC 주도하에 효과적인 투자자 피해구제 수단으로서 활발히 이용되고 있다. 우리가 Fair Fund를 도입함에 있어서는 과징금 확대 등 펀드 재원 마련 등 현실적인 문제의 해결이 관건이 되겠지만, 나아가 미국 Fair Fund 사례를 통해 운용의 지혜와 경험을 잘 살리는 것이 시행착오를 줄일 수 있다고 생각된다. 사적 피해에 대한 공적 구제라고 하는 Fair Fund의 기본정신에 충실하되, 핵심 이슈인 적용대상이나 재원 문제 해결에 있어 미국과 우리가 동일하지 않은 점을 인식하고, 우리나라의 자본시장과 국가재정 규제틀 안에서 최대한의 기본정신이 구현될 수 있는 방안을 찾도록 노력하는 것이 중요한 것으로 생각된다.
Abstract
Fair Fund is a fund established by the U.S. Securities and Exchange Commission (SEC) to distribute disgorgements and civil penalties to defrauded investors. And many Fair Funds were established by the Sarbanes-Oxley Act of 2002. Recently, in Korea, the Lime Fund has been under probe over its alleged cover-up of massive losses and subsequent suspension of fund redemption worth an estimated 1.6 trillion won ($1.39 billion), as well as another Optimus Fund case. This study is to examine the U.S. Fair Fund system and seek some valuable insights from it for introducing it into Korea. Already, some drafts for amending the Korean Capital Market Act to establish the Fair Fund system was enacted in December this year, and some will be likely to be on the table of the National Assembly. To help ensure effective and efficient operation of the Fair Fund in Korea, the followings are to be considered. First, under the current law, the amount of the Fair Fund is not enough to satisfy all victims, so that some new measures for collecting money is necessary, including the expanded application of money penalty system for violating the Korean Capital Market Law. Secondly, I recommend that Fair Funds must be overseen by the financial supervisory, among others. In some cases, the courts can also order to establish a Fair Fund. Thirdly, both the Fair Fund and the class action have the similar objectives and close relationship inherent, so both have to be considered each other in their procedures. Fifth, it is desirable that a procedure to collect Fair Fund data is to be established to assist managing and monitoring fund distribution. In conclusion, to successfully operate the Fair Fund in Korea, the principles and purpose of the Fair Fund, to protect investors and maintain the integrity of securities markets, must be well observed.
