Abstract
Parties to international commercial arbitration enjoy the freedom to appoint arbitrators, select the procedural rules to which the arbitral procedure will be subjected to, and the governing law of the merits of the dispute. However, there is some controversy as it pertains to rules of internationally mandatory character (i.e. overriding mandatory rules, lois de police) and the applicability of such in international arbitration: Issues such as the arbitrability of disputes involving overriding mandatory rules; validity of arbitration agreement on such disputes; whether the arbitrator has the power to apply overriding mandatory rules over the parties’ consent; which country’s overriding mandatory rules are relevant; and how the national courts can have a ‘second look’ on the arbitral decisions regarding internationally mandatory rules. This paper tackles these questions, examines and assesses the existing literature, and seeks a more desirable solution. Although arbitration is grounded on the parties’ consent, arbitration cannot and should not exist in a vacuum where internationally mandatory cannot be applied. Parties cannot, by definition, derogate from overriding mandatory rules and an arbitrator has the power to apply relevant internationally mandatory rules above and beyond the agreed law between the parties. This paper contends that the arbitrator should apply the internationally mandatory rules of the governing law of the contract and those of the countries to which the dispute has a close connection. The law of the seat, the law of the place of recognition and enforcement, place of performance are considered within the concept of close connection to the case. National courts can review the arbitral decision on the internationally mandatory rules in the annulment, recognition and enforcement proceedings. In cases where the arbitrator’s application or non-application of the internationally mandatory rules was erroneous and if the recognition and the enforcement of the arbitral award would amount to the infringement of international public policy, courts can annul or refuse recognition/enforcement. Overall, this paper contends that a restricted review of the court and establishing a consistent standard to application of internationally mandatory rules will serve as a better solution in terms of striking a balance between party autonomy and preserving public interest reflected in the overriding mandatory rules.
