Abstract

This paper explores the interrelationship between international jurisdiction and governing law in maritime disputes, with a focus on international conventions, bills of lading, and electronic bills of lading. While jurisdiction and governing law are generally determined independently, they may interact due to differences in conflict of law rules and the possibility of concurrent jurisdiction by the state whose law is applicable. It highlights problems in Korea’s current approach of incorporating the substance of international maritime conventions into domestic law without formal ratification, which undermines legal clarity. Even when the country of the governing law is a party to a convention, the convention should not automatically be considered part of the governing law, respecting for non-party states' sovereignty and the drafters’intent. Regarding B/L, the paper affirms that the law of the place of issuance may still serve as the most closely connected law in contractual matters, and that the law of the place of transfer should apply to proprietary claims. Lastly, it notes that existing interpretations based on paper bills are not fully applicable to electronic bills of lading, where the governing law often depends on the carrier-platform contract, reflecting the bill’s unilateral issuance by the carrier.
