Abstract

As the digital transformation of maritime logistics accelerates—driven by advancements in blockchain and autonomous shipping technologies—the carrier’s liability for misdelivery (illegal delivery) under electronic Bill of Lading (e-B/L) regimes has emerged as a critical legal exigency. Pursuant to Article 862 of the Korean Commercial Code (KCC), an e-B/L is recognized as having the same legal functional equivalence as a traditional paper B/L. However, a fundamental theoretical divergence arises because rights under an e-B/L are perfected through the transfer of “electronic control” rather than the physical possession of a tangible document. Under the traditional paper-based system, the Supreme Court of Korea has strictly upheld the surrender requirement (nature of redemption securities), consistently ruling that delivery of cargo without the presentation of an original B/L constitutes a tortious act arising from intent or gross negligence. In an e-B/L environment, however, the paradigm of misdelivery shifts from the physical failure to retrieve a document to systemic or algorithmic errors within electronic records, rendering the mechanical application of traditional liability doctrines problematic. This study delineates the scope of carrier liability based on the specific technical architecture of the e-B/L system employed: 1. Registry-Based Systems (e.g., Bolero): While the system's Rulebook governs liability, provisions that impose strict liability (no-fault liability) for private key compromises may conflict with the principle of fault-based liability enshrined in both the Hague-Visby Rules and the Korean Commercial Code. 2. Duty of Inquiry in Key Compromise/Forgery: By analogizing the legal doctrine of bank liability for forged checks, this paper asserts that while a carrier generally fulfills its obligation through formal examination, it must bear a substantial duty of care (diligent inquiry) when "special circumstances" indicating potential fraud are present. 3. Blockchain-Based Token Systems: In decentralized or tokenized frameworks, the distribution of liability between the carrier and the system operator (platform provider) becomes more pivotal than the carrier’s individual conduct, particularly regarding system defects or cyber-attacks.
