19세기 주식회사제도 도입의 지연 요인

Factors Affecting Retarded Legalization of Joint-Stock Companies

초록

공업화의 전개와 기업규모의 확대에도 불구하고 영국경제는 19세기 중반까지 유한책임제에 기반을 둔 주식회사제도를 도입하지 않았다. 이 연구는 주식회사의 도입이 지연된 이유에 대한 주장들을 살펴보고 그 타당성을 논의한다. 주식회사 건립운동이 활발했던 시기에 주식회사 건립이 얼마나 성사되었으며 건립된 기업들이 얼마나 성공적으로 유지되었는가를 탐구함으로써, 부실한 성과가 주식회사에 대한 사회적 불신을 야기하였다는 점을 보인다. 또 당대의 여론주도층이 주식회사도입에 반대한 근거가 무엇인가에 대해 분석한다. 그리고 1850년대 이후 주식회사 도입으로 정부가 정책을 선호하게 된 배경과 사회적 호응이 뒤따른 사정에 대해서도 논의한다. 19세기 영국 경제가 주식회사제도를 필요로 하지 않았기 때문에 또는 사회의 현실적 수요에 법조계가 늑장 반응을 보였기 때문에 주식회사제도의 도입이 지연되었다고 보기는 어렵다고 보인다. 자유주의 경제체제에 대한 완고한 신뢰가 일정한 역할을 했으며, 보다 중요하게는 주식회사제도가 지니는 불안요소를 제거하는 데에 사회가 실패함으로써 제도 도입에 부정적인 여론이 형성된 것이 핵심적인 요인이었음을 강조한다.
