Abstract
This study tries to investigate the unique characteristic of governance structure of Korean firms depending on CEO type by analyzing actual condition of usage of outside director system which has been forced by law after foreign exchange crisis. From the view point of agency theory, it can be expected that a professional CEO firm will appoint more outside directors than a family CEO firm because the former is needed to be monitored much more than the latter. But, empirical result shows there is no significant difference between the two because ownership and management is not separated and owner family has strong control with a strong ownership in Korea. Besides, the second analysis which includes only professional CEO firms shows that a firm which does not appoint excessive number of outside directors will have upper rank bosses above CEO with a title of 'president', 'vice president', 'honorary president', or 'chairman'. Considering that most of upper rank bosses above CEOs are family members of majority shareholder of the firms, we can strongly infer that this upper rank boss above CEO is a kind of internal control mechanism of monitoring in Korean firms. Through this research, we suggest that Korean firms have their own unique type of corporate governance structure and that blind adoption of control mechanism without considering the unique characteristic of Korean firms lead to erroneous results which was not expected.
